1. Introduction

Welcome to TimePerch. These Terms of Use ("Terms") govern your access to and use of the website https://timeperch.app (the "Website") and the team monitoring and productivity tracking services, software, and applications offered by TimePerch (collectively, the "Service").

These Terms constitute a binding legal agreement between you or the entity you represent ("Customer," "you," "your") and TimePerch, a sole proprietorship operating in Egypt ("we," "us," or "our").

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. The Service

TimePerch provides a modern team monitoring and productivity tracking tool designed for remote and hybrid teams. The Service is designed to provide data-driven insights into team activity, workflows, and performance. The Service is provided as a Software-as-a-Service (SaaS) subscription and, on limited occasions, as a Lifetime License.

3. User Accounts

To use the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during the registration process.
Maintain the security of your password and account credentials.
Accept all risks of unauthorized access to your account.
Promptly notify us if you discover or otherwise suspect any security breaches related to the Service.

You are responsible for all activities that occur under your account.

4. Customer's Legal Responsibilities and Compliance

This section is critical to your use of the Service.

a. Compliance with Laws

You represent and warrant that you will use the Service in full compliance with all applicable local, state, national, and international laws, regulations, and ordinances. This includes, but is not limited to, laws and regulations concerning data privacy, employee monitoring, labor relations, and electronic communications.

b. Data Controller

You acknowledge and agree that your company is the "Data Controller" (or equivalent term under applicable data protection laws) of the data collected from your employees or authorized users ("End Users"). TimePerch acts solely as a "Data Processor" on your behalf, processing data according to your instructions and configuration of the Service.

c. Notice and Consent

You are solely responsible for providing any and all required notices to your End Users and for obtaining all necessary and legally sufficient consents from them before monitoring their activities using the Service.

5. Acceptable Use Policy

You agree not to misuse the Service or help anyone else to do so. You agree not to:

Use the Service to violate the privacy or other rights of your End Users.
Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
Sell, resell, or lease the Service without our express written permission.

6. Fees, Payment, and Refunds

The Service is offered on both a subscription basis and, for limited periods, as a one-time "Lifetime Deal" (LTD).

a. Subscriptions

For recurring subscriptions (monthly/yearly), subscriptions will automatically renew unless canceled before the end of the current billing period.

b. Refund Policy

Subscriptions: You may request a full refund within fourteen (14) days of your initial subscription purchase.
Lifetime Deals (LTD): For Lifetime Deal license keys, refunds are available for 14 days only if the license key has not been redeemed or activated. Once a license key is activated or associated with a tenant workspace, the purchase is considered consumed and is final and non-refundable.

7. Intellectual Property

We retain all rights, title, and interest in and to the Service, including all related intellectual property rights. The data you collect from your End Users through the Service remains your property.

8. Service Usage Data

To help us improve the Service, we collect anonymous usage data regarding how administrators interact with the dashboard. We use third-party analytics services for this purpose. This data is used solely for internal improvements and does not include the sensitive monitoring data collected from your End Users.

9. Term and Termination

These Terms will remain in effect until your subscription terminates. We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, for any violation of these Terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

IN NO EVENT SHALL TIMEPERCH OR ITS OWNER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless TimePerch, its owner, officers, directors, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party (including your End Users).

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Egypt, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in Cairo, Egypt.
